Welcome, by using LightUpp you agree to these Terms of Service. This page explains our terms by which you may use our service/platform. This Agreement applies to all visitors, users, members, and others who access this service.

LightUpp provides a personalized subscription service that allows our members to advertise their business (Self Employed, Sole Trader, Ltd Company or otherwise) via our screens displayed throughout various locations in the area. These Terms of Service govern your use of our service. As used in these Terms of Service, “Light Upp”, “LightUpp”, “service”, “we”, “our”, or “us” means the personalized service provided by Light Up Pages Limited, including but not limited to all features and functionalities, recommendations and reviews, the website, and user interfaces, as well as all content and software associated with our service.

These terms are categorized into:

1. Memberships

1.1. Your Light Upp membership will continue month-to-month until terminated. To use the Light Upp service you must have Internet access, be a Non-Restricted Business (see “Restricted Businesses” below), possess a Digital Advertisement image file complying with our pixel/size requirements, and provide us with one or more Payment Methods. “Payment Method” means a current, valid, accepted method of payment, as may be updated from time to time, and which may include payment through your account with a third party. Unless you cancel your membership before your monthly billing date, after given your 31 day notice period, you authorize us to charge your next month’s membership fee to your Payment Method (see “Billing and Cancellation” below).

​1.2. We may offer a number of membership plans, including special promotional plans or memberships offered by third parties in conjunction with the provision of their own products and services. Some membership plans may have differing conditions and limitations, which will be disclosed at your sign-up or in other communications made available to you. You can find specific details regarding your Light Upp membership by visiting our website and clicking on the “Sign In” link available at the top of the pages of the Light Upp website.

2. Billing and Cancellation

2.1. Billing Cycle. The membership fee for the Light Upp service and any other charges you may incur in connection with your use of the service, such as taxes, VAT, and possible transaction fees, will be charged on a monthly basis to your Payment Method on the calendar day corresponding to the commencement of the paying portion of your membership. All LightUpp contracts begin/start at the date of the sign up form being completed and returned to us. In some cases your payment date may change, for example if your Payment Method has not successfully settled or if your paid membership began on a day not contained in a given month. We will make you aware of your billing date upon signing up to our subscription.

​2.2. Payment Methods. To use the Light Upp service you must provide one or more Payment Methods. You can update your Payment Methods by going to the “My Account” page. We may also update your Payment Methods using information provided by the payment service providers. Following any update, you authorize us to continue to charge the applicable Payment Method(s). You authorize us to charge any Payment Method associated to your account in case your primary Payment Method is declined or no longer available to us for payment of your subscription fee. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not hand in your 31 day notice period to cancel, we may suspend your access to the service until we have successfully charged a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Local tax charges may vary depending on the Payment Method used. VAT will be applicable dependent on the current VAT requirements. Check with your Payment Method service provider for details.

​2.3. Cancellation. You can cancel your Light Upp membership at any time by handing in your 31 day notice, and you will continue to have access to the Light Upp service through to the end of your 31 day notice period. To the extent permitted by the applicable law, payments are non-refundable and we do not provide refunds or credits for any partial-month membership periods or any unused Light Upp service. For this reason check your desired screen availability prior to signing up. To cancel, go to the “My Account” page and follow the instructions for cancellation. If you decide to cancel your membership, your account will notify Light Upp of your 31 day notice period and automatically close at the end of your notice period. If you are in a contract, the 31 days notice can only be given once the contract ends or at a maximum of 31 days prior to the contract ending. You will be notified of your last account day and will be charged up and until the end of your notice period. Our services will be available to you until your last payment day. If you choose to stay with Light Upp before the end of your notice period, your account will be reinstated. If you decide to join Light Upp again after your account closure you will need to insert one or more Payment Methods again and pay any outstanding balance. If you signed up for Light Upp using your account with a third party as a Payment Method and wish to cancel your Light Upp membership, you may need to do so through such third party, for example by visiting your account with the applicable third party and giving your 31 day notice period, this will unsubscribe you from the Light Upp services through that third party. You may also find billing information about your Light Upp membership by visiting your account with the applicable third party.

​2.4. Some of our memberships may require a contract term for your subscription. If this is the case it will be stated clearly on your sign up form. By signing up, you agree to accept said contract terms, and in any early cancellation event, are liable to pay the remaining months left on the contract term. If you cancel whilst in contract with no intention to continue, or withold future payments from us, we are within our rights to pursue the remaining of your contract balance by approaching relevant debt recovery agencies at our discretion.

2.5. Changes to te Price and Subscription Plans. We may change our subscription plans and the price of our service from time to time; however, any price changes or changes to our subscription plans will apply to you no earlier than 30 days following notice to you. 3. Light Upp Service

3.1. You must be 18 years of age, or the age of majority in your province, territory or country, to become a member of the Light Upp service. Minors may only use the service under the supervision of an adult.

​3.2. The Light Upp service and any content or features used through the service are for your business and commercial use only and may not be shared with individuals beyond your business. During your Light Upp membership we grant you a limited, non-exclusive, non-transferable right to access the Light Upp service and view Light Upp content. Except for the foregoing, no right, title or interest shall be transferred to you. You agree not to share the service with any other business or person.

​3.3. You may utilise the Light Upp service primarily within the country in which you have established your account and only in geographic locations where we offer our service and have licensed such service. The service that may be available to use will vary by geographic location and will change from time to time. The number of screens on which you may simultaneously advertise on, depends on your chosen subscription plan and is specified on the “Price Guide” page.

​3.4. The Light Upp service, including the content library, is regularly updated. In addition, we continually test various aspects of our service, including our website, user interfaces, promotional features and availability of Light Upp content.

​3.5. Some Light Upp content is available for temporary offline viewing on certain supported devices. Limitations apply, and this content will be updated and changed regularly, so you must have Internet access to keep up to date on available services and locations.

​3.6. You agree to use the Light Upp service, including all features and functionalities associated therewith, in accordance with all applicable laws, rules and regulations, or other restrictions on use of the service or content therein. You agree not to archive, reproduce, distribute, modify, perform, publish, license, create derivative works from, offer for sale, or use (except as explicitly authorized in these Terms of Service) content and information contained on or obtained from or through the Light Upp service. You also agree not to: circumvent, remove, alter, deactivate, degrade or thwart any of the content protections in the Light Upp service; use any robot, spider, scraper or other automated means to access the Light Upp service; decompile, reverse engineer or disassemble any software or other products or processes accessible through the Light Upp service; insert any code or product or manipulate the content of the Light Upp service in any way; or use any data mining, data gathering or extraction method. In addition, you agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or physical devices or telecommunications equipment associated with the Light Upp service, including any software viruses or any other computer code, files or programs. We may terminate or restrict your use of our service if you violate these Terms of Service or are engaged in illegal or fraudulent use of the service.

​3.7. You are responsible for all Internet access charges. Please check with your Internet provider for information on possible Internet data usage charges. The time it takes to utilise Light Upp content will vary based on a number of factors, including your location, available bandwidth at the time, the content you have selected and the configuration of your Light Upp ready device.

​3.8. Light Upp platform, website, content is developed by, or for, Light Upp and is designed to enable viewing of Light Upp advertisement content through Light Upp advertisement screen devices. You acknowledge that the use of the service may require third party software to transfer the content to a Light Upp device.

4. Advertising on Screens

4.1. The User must comply with the minimum pixel and size requirements for the business advertisement to be displayed fully and effectively. Light Upp will on reason, try to accommodate all sizes of image files.

​4.2. In the event that such advertising is not delivered on time, in an incorrect format or otherwise not in accordance with the specification mentioned above in Clause 4.1, then Light Upp shall use reasonable endeavors to meet the display deadline but reserves the right to show the previous day’s scheduling or leave vacant such advertising space. In circumstances where Light Upp is able to meet the display deadline, the Principal agrees it shall be liable to pay any additional posting fees reasonably incurred by Light Upp in meeting the deadline. In circumstances where Light Upp is unable to meet the display deadline, the Principal agrees it shall be liable to pay the Fees in any event where applicable.

​4.3. When the User is entitled to a change of advertising without separate charge and stipulates a time on a date upon which such change should commence Light Upp shall complete such change as soon as reasonably possible from the stipulated time on the applicable date provided that Light Upp has received the Advertising in accordance with Clause 4.1 above. Unless otherwise agreed by the Principal Light Upp shall not commence such change before the stipulated time on the applicable date.

​4.4. In the event of an emergency situation in Light Upp’s opinion or if requested by a governmental body or authority Light Upp reserves the right to display public announcements on the screens which may or may not interfere with the scheduling of advertising agreed between the parties. If such public announcements do interfere with the advertising scheduling, Light Upp will use reasonable endeavors to either offer the Principal a suitable alternative schedule or a credit against any future display (subject to availability), at its discretion.

​4.5.In addition to any other rights provided under this agreement Light Upp shall have the right to see advertising prior to commencement of display and shall have the right to refuse to display or continuing to display any advertising for any reason including but not limited to advertising which does not comply in all respects with the Principal’s warranties and undertakings detailed in this Terms of Service and/or which differs in any material respect from the advertising specified at the time of booking or specification or subsequently changed without the approval of Light Upp.

​4.6. The Principal shall indemnify, keep fully indemnified and hold harmless Light Upp against all actions, proceedings, costs, damages, expenses, penalties, claims, demands and liabilities arising from or in connection with the Principal’s negligence or any breach by the Principal of this Agreement or in any manner whatsoever arising (including but not limited to any such actions, proceedings, costs, damages, expenses, penalties, claims, demands and liabilities arising from any third party claim).

​4.7. Light Upp shall inspect any faulty or damaged screen as soon as reasonably practicable following becoming aware of such fault or damage. Light Upp agrees to act in good faith to ensure that any faulty or damaged screen is returned to full working order as soon as is reasonably practicable. Light Upp shall not be liable for any credits to the Principal for the duration that a screen remains damaged or faulty if remedied within a reasonable period (which, for these purposes, means within 72 hours of becoming aware of the fault) or as a result of a Force Majeure Event.

​4.8. The Principal shall ensure that materials such as image files, shall be delivered to Light Upp in time to allow for 4 days of testing before the display date, unless the parties agree otherwise.

​4.9. The Principal shall provide suitable back-up materials, embedded in the relevant dynamic file, to Light Upp, for display in the event of failure of the dynamic content.

​4.10. The Principal undertakes to inform Light Upp of the scope of the campaign and to keep Light Upp informed of any changes to the scope and detail of the campaign and provide Light Upp with such details relating to the campaign as it may request to enable Light Upp to deliver the agreed order. If the Principal should wish to change the scope or detail of the campaign, it shall discuss such changes with Light Upp, giving Light Upp at least 4 Working Days’ notice in accordance with 4.8 above.

​4.11. The Principal acknowledges and agrees that Light Upp has no control over elements to a dynamic campaign which are provided by third parties, such as data sources and data communications providers and that Light Upp shall not be liable for any failures to the advertising or display arising out of failures from such third party sources.

​4.12. The Principal agrees that the advertising shall not include any code, tag, image, or device of any kind which enables viewers of the advertising to interact with the advertising via mobile technology or other wireless means, nor shall such device be attached, affixed or installed onto or in the screens, without Light Upp’s consent (which may be conditioned as Light Upp considers appropriate).

​4.13. Light Upp does not guarantee continuous error-free display over 95% in respect of digital displays.

5. Passwords and Account Access

5.1. The member who created the Light Upp account and whose Payment Method is charged (the “Account Owner”) has access and control over the Light Upp account and the Light Upp ready devices that are used to access our service and is responsible for any activity that occurs through the Light Upp account. To maintain control over the account and to prevent anyone from accessing the account (which would include information on viewing history for the account), the Account Owner should maintain control over the Light Upp ready devices that are used to access the service and not reveal the password or details of the Payment Method associated with the account to anyone. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your account. We can terminate your account or place your account on hold in order to protect you, Light Upp or our partners from identity theft or other fraudulent activity.

6. Restricted Businesses

6.1. The following categories of businesses and business practices are restricted from using the Light Upp Service (“Restricted Businesses”). Restricted Business categories may be imposed through Light Upp Rules or the requirements of our Advertising Standards Agency. In certain cases, businesses listed below may be eligible for advertisement with explicit prior approval from Light Upp. The types of businesses listed in the right column are representative, but not limited to. If you are uncertain as to whether your business is a Restricted Business, or have questions about how these requirements apply to you, please contact us.

​6.2. By registering with us, you are confirming that you will not use the service to display advertisements in connection with the following businesses, business activities, or business practices, unless you have received prior written approval from Light Upp.

6.3. Financial and professional services;

​6.3.1. Investment & Credit Services: Securities brokers; mortgage consulting or debt reduction services; credit counselling or repair; real estate opportunities; lending instruments.

​6.3.2. Banks and Money Services: Banks of any kind; money transmitters, check cashing, wire transfers, money orders; currency exchanges or dealers; bail bonds; collections agencies.

​6.3.3. Virtual Currency or Stored Value: Virtual currency that can be monetized, resold, or converted to physical or digital products and services or otherwise exit the virtual world (e.g., Bitcoin); sale of stored value or credits maintained, accepted and issued by anyone other than the seller.

6.4. IP Infringement, regulated or illegal products and services;

​6.4.1 Intellectual property or proprietary rights infringement: Sales, distribution, or access to counterfeit music, movies, software, or other licensed materials without the appropriate authorization from the rights holder; any product or service that directly infringes or facilitates infringement upon the trademark, patent, copyright, trade secrets, or proprietary or privacy rights of any third party; use of Light Upp intellectual property without express consent from Light Upp; use of the Light Upp name or logo, or in a manner that otherwise harms Light Upp or the Light Upp brand.

​6.4.2. Counterfeit or unauthorized goods: Unauthorized sale or resale of brand name or designer products or services; sale of goods or services that are illegally imported or exported.

​6.4.3. Gambling: Lotteries; sports forecasting or odds making; fantasy sports leagues with cash prizes; internet gaming; contests; sweepstakes; games of chance.

​6.4.4. Clubs and/or Alcohol: Advertisement of alcohol of any kind; businesses solely capitalizing on the sale of alcohol (e.g. Pubs); clubs; nightclubs; bars; advertisement/s of venues requiring persons of age 18 and over.

​6.4.5. Regulated or illegal products or services: Marijuana dispensaries and related businesses; sale of tobacco, e-cigarettes, and e-liquid; online pharmacies; age restricted goods or services; weapons and munitions; gunpowder and other explosives; fireworks and related goods; toxic, flammable, and radioactive materials; products and services with varying legal status in the Country; goods or services, the sale of which is illegal under applicable law in the jurisdictions to which your business is targeted or directed.

​6.4.6. Adult content and services: Pornography and other obscene materials (including literature, imagery and other media); sites offering any sexually-related services such as prostitution, escorts, pay-per view, adult live chat features.

6.5. Unfair, predatory, or deceptive practices;

​6.5.1. Get rich quick schemes: Investment opportunities or other services that promise high rewards.

​6.5.2. Mug shot publication or pay-to-remove sites: Platforms that facilitate the publication and removal of content (such as mug shots), where the primary purpose of posting such content is to cause or raise concerns of reputational harm.

​6.5.3. No-value-added services: Sale or resale of a service without added benefit to the buyer; resale of government offerings without authorization or added value; sites that we determine in our sole discretion to be unfair, deceptive, or predatory towards consumers.

6.6. Further business or services that are restricted unless explicitly told otherwise by Light Upp;

​6.6.1. Drug paraphernalia: Any equipment designed for making or using drugs, such as bongs, vaporizers, and hookahs.

​6.6.2. High risk businesses: Psychic services; drop shipping; forwarding brokers; negative response marketing; credit card and identity theft protection; the use of credit to pay for lending services; any business or organization that a. engages in, encourages, promotes or celebrates unlawful violence or physical harm to persons or property; or engages in, encourages, promotes or celebrates unlawful violence toward any group based on race, religion, disability, gender, sexual orientation, national origin, or any other immutable characteristic.

​6.6.3. Multi-level marketing: Pyramid schemes, network marketing, and referral marketing programs.

​6.6.4. Pseudo pharmaceuticals: Pharmaceuticals and other products that make health claims that have not been approved or verified by the applicable local and/or national regulatory body.

​6.6.5. If you have any questions concerning whether you may fall into these categories, please get in touch before subscribing to Light Upp services.

​6.6.6. Light Upp holds the right to view all advertisements prior to display and can revoke your businesses advertisement display and freeze/cancel your account if it breaches any section of the stated terms and conditions listed above.

7. Miscellaneous

7.1. These Terms of Service shall be governed by and construed in accordance with the laws of Scotland. These terms will not limit any consumer protection rights that you may be entitled to under the mandatory laws of your country of residence.

​7.2 If any provision or provisions of these Terms of Service shall be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.

​7.3. Light Upp may, from time to time, change these Terms of Service. We will notify you at least 30 days before such changes apply to you.

​7.4. The Screens shall at all times be the sole property of Light Upp, and the User hereby disclaims any rights whatsoever to make any claim against the same. Notwithstanding anything to the contrary herein, Light Upp may at any time undertake such renovation, refurbishment or similar activity on the screens as Light Upp considers appropriate without any liability to the User. Other than Light Upp’s obligations to display the Advertising as set forth herein, the Principal shall have no right whatsoever to approve or control the form or content of any other unrelated advertising content or materials on the screens or any other Light Upp property.

​7.5. Light Upp cares about the safety of your personal information. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

​7.6. This agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Light Upp without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

​7.7. Force Majeure: Any delay or failure by either party to perform hereunder as a result of employment dispute, law, government action or order, acts of God, acts of terrorism or results thereof, or other causes beyond the User’s or Light Upp’s reasonable control as shall be applicable will not constitute a breach of this agreement, provided that the affected Party shall notify the other promptly and use all reasonable endeavors to resolve such cause preventing performance. In the event such affected party is unable to perform its obligations within three months of the date such cause arises, either party shall be entitled to terminate this agreement immediately on written notice to the other without liability or giving rise to any claim in this regard.
